Boostt Platform Provider Agreement (User Agreement)
Effective date: February 13, 2026
Provider: Boostt Inc., 169 Madison Ave STE 15035, New York, NY 10016, United States ("Boostt", "we", "us").
Applies to: Any person or entity that creates a Boostt account ("User"). A User may act as a Brand (buyer) and/or a Creator (service provider).
1) Definitions
- Platform Services: Boostt's software features to draft, present, accept, and manage professional services arrangements (including Statements of Work, "SOWs"), track deliverables/KPIs, and coordinate permitted actions with Stripe.
- Stripe Connected Account Agreement (Full) and Stripe Connected Account Agreement (Recipient): each incorporates the Stripe Services Agreement and applies based on country and Stripe's configuration.
- Activity (Stripe term): actions a platform may perform or instruct Stripe to perform related to your connected account, as permitted by your agreement with Stripe and this Agreement.
2) What Boostt is (and isn't)
Boostt provides software to create and manage professional services agreements and related workflows. Boostt does not provide payment processing, escrow, custody, or money-transmission services. Payment services are provided by Stripe under your direct agreement with Stripe.
3) Stripe Connect
- Boostt may help you create a Stripe Connected Account or enroll an existing Stripe account with Boostt's Stripe Connect integration.
- You enter a direct agreement with Stripe, governed by the applicable Connected Account Agreement:
- United States: Stripe Connected Account Agreement (Full)
- Other countries: Stripe Connected Account Agreement (Recipient)
- Stripe (not Boostt) determines eligibility, capability activation, holds, and payout execution.
4) Authorization for Activity in Stripe
After you accept the applicable Stripe agreement and this Agreement, you authorize Boostt to conduct the following Activity on your behalf:
- Create/confirm charges on Boostt's platform Stripe account as specified in an accepted SOW
- Create transfers from the platform balance to a Creator's connected-account balance when amounts are marked "earned"
- Initiate refunds and transfer reversals/adjustments to reconcile prior transfers
- Submit dispute/chargeback evidence
- Collect and transmit onboarding / KYC / KYB information
- Request capabilities appropriate to your account type and country (final approval by Stripe)
5) Merchant of Record; Operating Model: Separate Charges & Transfers
Boostt Inc. is the Merchant of Record for all transactions processed through the Platform. This means:
- 5.1 Payment statement: Boostt's name and payment descriptor appear on the end customer's payment statement, not the Creator's.
- 5.2 Chargeback liability: Boostt bears full financial responsibility for all chargebacks and card disputes initiated by end customers. Boostt will collect evidence from the relevant Creator and/or Brand but assumes ultimate financial liability at the platform level.
- 5.3 Refund obligations: Boostt is the legally responsible party for issuing refunds to end customers in accordance with the refund policy in Section 7.
- 5.4 Negative balances: Boostt is responsible for covering any negative balances on the platform Stripe account arising from refunds, chargebacks, or adjustments.
- 5.5 Tax obligations: As Merchant of Record, Boostt may be required to collect and remit applicable sales tax, VAT, or other transaction taxes depending on the jurisdiction of the transaction. Boostt will communicate applicable tax treatment to users where required by law.
- 5.6 Fraud liability: Boostt absorbs unauthorized transaction losses at the platform account level.
- 5.7 PCI DSS compliance: Boostt, as Merchant of Record, is responsible for maintaining Payment Card Industry Data Security Standard (PCI DSS) compliance for the platform Stripe account.
- 5.8 AML & sanctions: Boostt maintains anti-money laundering controls and sanctions screening obligations on the platform account as required by applicable law.
- 5.9 Regulatory compliance: Boostt complies with payment regulations in each jurisdiction where it processes transactions as Merchant of Record.
- 5.10 Consumer protection: Boostt, as Merchant of Record, is subject to applicable consumer protection laws in the jurisdiction of the end customer.
Funds flow: The end customer's payment method is charged on Boostt's platform Stripe account. Funds reside in the platform Stripe balance (held by Stripe). When amounts are marked "earned," Boostt creates a transfer to the Creator's connected-account balance net of platform fees. Payouts are executed by Stripe. Boostt does not hold funds off-Stripe and does not provide escrow or money-transmission services.
6) Prepaid SOWs (optional)
If a SOW designates prepaid amounts, those are charged on the platform account and handled under SCT. If a refund is later due, funds are returned to the original payment method; transfer reversals/adjustments may be applied.
7) Refunds, chargebacks, adjustments
- Refunds: When due, Boostt initiates a refund on the original charge and reconciles related transfers.
- Chargebacks: Card-issuer disputes are handled by Stripe. Boostt will collect and submit reasonable evidence.
7.1) Ask Me Anything (AMA) cancellation & refund policy
The following policy applies to all AMA service orders placed on the platform:
- Delivery deadline: The Creator has 48 hours from the time of purchase to deliver a video response. If the Creator fails to deliver within this period, the Buyer receives an automatic full refund of the AMA fee.
- Creator cancellation: If the Creator cancels the order, the Buyer receives a full refund of the AMA fee.
- Buyer cancellation: If the Buyer cancels before the Creator delivers, the Buyer receives a 50% refund of the AMA fee.
- Platform fee: The platform service fee is non-refundable in all cancellation scenarios.
- Deliverable: The standard AMA deliverable is a 15-second video response from the Creator.
8) Platform restrictions
Boostt may restrict a connected account's ability to terminate Boostt's access while an active SOW, dispute, negative balance, or compliance hold exists. Restrictions are lifted when conditions no longer apply.
9) Processing windows, country rules, FX
- Processing window: Up to 10 business days (separate from Stripe's payout timing).
- Country payout rules: Vary by country and are controlled by Stripe/banks.
- Currencies & FX: Follow the SOW, account configuration, and Stripe capabilities.
10) Acceptable use; restricted businesses
You must comply with Boostt's Acceptable Use and Stripe's Prohibited and Restricted Businesses.
11) Privacy & data roles
You authorize Boostt to transmit your data to Stripe. See the Boostt Privacy Policy and the Stripe Privacy Policy.
12) Order of precedence
For payment matters: your Stripe agreements control Stripe's Services; the SOW controls commercial terms between Brand and Creator; this Agreement controls Boostt's Platform Services.
13) Term; suspension; termination
Boostt may suspend or terminate access for risk, non-payment, violations, sanctions, or legal requests. You may close your account unless restricted by an active SOW, dispute, negative balance, legal hold, or Stripe requirement.
14) Disclaimers; limitation; indemnities
Platform is provided "as is" and "as available." To the maximum extent permitted by law, Boostt disclaims all warranties, and limits liability for indirect, incidental, special, consequential, or punitive damages.
